1. Acceptance of Terms

Welcome to Penvid! These Terms of Service ("Terms") govern your access to and use of the Penvid platform at penvid.dk (the "Service"), operated by Karsten Bak Malle, located at Lyshøjgårdsvej 103, Valby 2500, Denmark.

By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not use the Service.

We reserve the right to modify these Terms at any time. Continued use of the Service after changes constitutes acceptance of the modified Terms.

2. Description of Service

Penvid is a portfolio tracking and investment analytics platform that allows you to:

• Create and manage investment portfolios
• Track stock holdings with real-time price updates
• Monitor portfolio performance with advanced analytics
• View historical performance data and charts
• Export portfolio data (Plus and Pro tiers)

The Service is provided "as is" and we reserve the right to modify, suspend, or discontinue any part of the Service at any time with or without notice.

3. Eligibility

You must be at least 13 years old to use the Service. By using the Service, you represent and warrant that:

• You are at least 13 years of age
• You have the legal capacity to enter into these Terms
• All information you provide is accurate and truthful
• You will comply with all applicable laws and regulations

If you are under 18, you should have permission from a parent or guardian to use the Service.

4. Account Registration

4.1 Account Creation

To use certain features, you must create an account by providing:

• Valid email address
• Full name
• Secure password

4.2 Account Security

You are responsible for:

• Maintaining the confidentiality of your password
• All activities that occur under your account
• Notifying us immediately of any unauthorized access
• Ensuring your account information is accurate and up-to-date

4.3 Account Termination

You may delete your account at any time from your Settings page. We may suspend or terminate your account if:

• You violate these Terms
• You engage in fraudulent or illegal activity
• Your payment method fails (for paid subscriptions)
• We are required to do so by law

5. Subscription Plans and Pricing

5.1 Subscription Tiers

We offer three subscription tiers:

5.2 Free Trial

Plus Tier Free Trial: New users can start a 14-day free trial of the Plus tier. The trial:

• Requires a valid credit card to be provided upfront
• Automatically converts to a paid subscription after 14 days unless canceled
• Can be canceled at any time during the trial period without charge
• Is available once per user (tracked by email address)

If you cancel during the trial, you will not be charged and your account will revert to the Free tier.

5.3 Billing and Payment

• Payment Processing: All payments are processed securely through Stripe
• Billing Cycle: Monthly subscriptions renew on the same day each month; annual subscriptions renew yearly
• Auto-Renewal: Subscriptions automatically renew unless canceled before the renewal date
• Price Changes: We will notify you at least 30 days before any price increase
• Taxes: Prices do not include applicable taxes (VAT, sales tax), which will be added at checkout

5.4 Annual Discount

Annual plans offer a 17% discount compared to monthly billing (equivalent to 2 months free).

6. Cancellation and Refunds

6.1 Cancellation

You may cancel your subscription at any time from your Settings page. Upon cancellation:

• You will retain access until the end of your current billing period
• Your account will automatically downgrade to the Free tier at the end of the period
• No further charges will be made
• Your data will be retained according to Free tier limits

6.2 Refund Policy

We offer prorated refunds on subscription cancellations:

• Monthly Plans: Prorated refund for unused days in the current month
• Annual Plans: Prorated refund for unused months (calculated on a monthly basis)
• Free Trial: No refund needed if canceled during the 14-day trial period (no charge occurs)

6.3 Refund Requests

To request a refund, contact us at support@penvid.dk. Refunds are typically processed within 5-10 business days to your original payment method.

6.4 Payment Failures

If a subscription payment fails:

• We will attempt to charge your payment method up to 3 times
• You will receive email notifications about the failed payment
• If all attempts fail, your subscription will be canceled and your account will downgrade to Free tier
• You may reactivate your subscription by updating your payment method

7. Acceptable Use Policy

You agree NOT to:

• Use the Service for any illegal purpose or in violation of any laws
• Attempt to gain unauthorized access to our systems or other users' accounts
• Interfere with or disrupt the Service or servers
• Upload viruses, malware, or other malicious code
• Scrape, crawl, or use automated tools to access the Service (except API access for Pro tier)
• Reverse engineer, decompile, or disassemble any part of the Service
• Resell, rent, or lease access to the Service
• Impersonate another person or entity
• Share your account credentials with others
• Use the Service to send spam or unsolicited communications

Violation of this policy may result in immediate account termination without refund.

8. Investment Disclaimers

8.1 Not Investment Advice

IMPORTANT: Penvid is a portfolio tracking tool only. We do NOT provide investment advice, financial advice, trading advice, or any recommendations regarding buying, selling, or holding securities.

All information and data provided through the Service is for informational purposes only. You are solely responsible for your investment decisions.

8.2 Data Accuracy

We rely on external partners (TwelveData) for stock market data. While we strive for accuracy:

• Price data may be delayed, inaccurate, or incomplete
• Historical data may contain errors or gaps
• We are not responsible for errors in third-party data
• You should verify critical information with your broker before making decisions
• Performance calculations are estimates based on the data provided

8.3 Risk Disclosure

Investing in securities involves risk, including possible loss of principal. Past performance does not guarantee future results. You should:

• Consult with a qualified financial advisor before making investment decisions
• Understand the risks associated with your investments
• Only invest money you can afford to lose
• Diversify your portfolio appropriately

8.4 No Guarantees

We make no guarantees, representations, or warranties regarding:

• The accuracy, completeness, or timeliness of data
• Investment performance or returns
• The suitability of any investment for your circumstances
• Uninterrupted or error-free operation of the Service

9. Intellectual Property

9.1 Our Rights

The Service and all content, features, and functionality (including but not limited to software, code, design, graphics, logos, and user interface) are owned by Karsten Bak Malle and are protected by copyright, trademark, and other intellectual property laws.

9.2 Your Rights

You retain all rights to the data you input into the Service (portfolio names, holdings, notes, etc.). By using the Service, you grant us a limited license to:

• Store and process your data to provide the Service
• Create anonymized, aggregated statistics (no personal identification)
• Display your data back to you through the Service interface

9.3 License to Use

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for personal, non-commercial purposes in accordance with these Terms.

10. Data Privacy and Security

Your privacy is important to us. Our collection, use, and protection of your personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference.

While we implement industry-standard security measures, we cannot guarantee absolute security. You use the Service at your own risk.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED
• WE DISCLAIM ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT
• WE ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
• OUR TOTAL LIABILITY TO YOU SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM
• WE ARE NOT LIABLE FOR ANY INVESTMENT LOSSES, TRADING LOSSES, OR FINANCIAL DECISIONS YOU MAKE
• WE ARE NOT LIABLE FOR DATA INACCURACIES, SERVICE INTERRUPTIONS, OR THIRD-PARTY FAILURES

Some jurisdictions do not allow limitation of liability, so these limitations may not apply to you.

12. Indemnification

You agree to indemnify, defend, and hold harmless Karsten Bak Malle and the Service from any claims, liabilities, damages, losses, and expenses (including legal fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any rights of another person or entity
• Investment decisions you make based on data from the Service

13. Third-Party Services

The Service integrates with third-party services (Stripe for payments, TwelveData for stock prices, etc.). Your use of these services may be subject to their own terms and conditions:

We are not responsible for the availability, accuracy, or practices of third-party services.

14. Modifications to the Service

We reserve the right to:

• Modify, suspend, or discontinue any part of the Service at any time
• Change subscription features, pricing, or tier limits with 30 days' notice
• Update these Terms with notice to users
• Implement new features or remove existing ones

Material changes to paid subscriptions will be communicated via email and will not affect your current billing cycle.

15. Governing Law and Jurisdiction

These Terms are governed by the laws of Denmark without regard to conflict of law principles.

Any disputes arising from these Terms or the Service shall be resolved in the courts of Denmark. You consent to the exclusive jurisdiction of Danish courts.

If you are a consumer in the EU, you may also have the right to bring proceedings in the courts of your country of residence.

16. Dispute Resolution

16.1 Informal Resolution

Before filing any legal claim, you agree to first contact us at support@penvid.dk to attempt to resolve the dispute informally. We will work in good faith to resolve the issue within 30 days.

16.2 EU Online Dispute Resolution

If you are an EU consumer, you may use the European Commission's Online Dispute Resolution platform:ec.europa.eu/consumers/odr

17. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect. The invalid provision will be modified to the minimum extent necessary to make it valid.

18. Entire Agreement

These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and Karsten Bak Malle regarding the Service and supersede all prior agreements and understandings.
